Terms and Conditions
Last updated: October 19, 2026
These Terms and Conditions explain the rules for using Codexilo’s website, engaging our services, and using products we operate.
1. Agreement to these terms
These Terms and Conditions (“Terms”) govern your access to and use of the Codexilo website (codexilo.com), related pages, and the digital services and products we offer.
By browsing our website, submitting a form, requesting a quote, or engaging Codexilo for work, you agree to these Terms. If you do not agree, please do not use our site or services.
For specific client projects, a written proposal, statement of work (SOW), or contract may add or override parts of these Terms for that engagement.
2. About Codexilo

3. Website use
You agree to use our website lawfully and responsibly. You must not:
- Attempt to hack, scrape aggressively, overload, or disrupt our website or systems.
- Upload malicious code or attempt unauthorized access to accounts, data, or infrastructure.
- Misrepresent your identity or affiliation when contacting us.
- Use our content, branding, or materials except as allowed in these Terms or with written permission.
4. Enquiries and quotes
Information on our website is for general guidance and does not automatically create a binding contract.
Quotes, timelines, and estimates are based on the brief you provide and may change if scope, assets, or requirements change. A project begins only after both parties agree in writing (email confirmation, signed proposal, invoice payment, or SOW as applicable).
5. Services and deliverables
We will deliver services with reasonable professional care according to the agreed scope.
You agree to provide timely feedback, access, content, brand assets, and decisions needed for delivery. Delays on your side may extend timelines.
Third-party platforms (Shopify, WordPress plugins, payment gateways, hosting, AI APIs, app stores, etc.) are governed by their own terms. We are not responsible for outages, policy changes, or fees charged by those platforms.
6. Client responsibilities
You are responsible for:
- Accuracy of information, content, and materials you supply.
- Having rights to use logos, images, copy, data, and other assets you provide.
- Compliance with laws applicable to your business, products, and marketing.
- Maintaining backups and access credentials where you control hosting or accounts (unless otherwise agreed in writing).
7. Payments
Fees, payment schedules, and currencies are stated in your proposal or invoice. Unless otherwise agreed, work may pause if invoices are overdue.
Deposits are typically non-refundable once work has started, except where required by law or explicitly agreed in writing.
You are responsible for applicable taxes, payment-processor fees, and third-party service costs unless your quote says otherwise.
8. Revisions and change requests
Included revision rounds are defined in your proposal. Additional revisions or scope changes may require a new estimate and timeline.
Major changes (new features, redesigns, extra platforms, or changed requirements) are treated as change requests and billed accordingly.
9. Intellectual property
Until full payment is received, Codexilo retains ownership of work product we create for you.
Upon full payment, you receive ownership or a license to the final deliverables as stated in your agreement - typically the approved final designs, code, or assets created specifically for your project.
Codexilo may retain the right to reuse general know-how, frameworks, libraries, and non-client-specific components. We may showcase completed work in our portfolio unless you request otherwise in writing for confidential projects.
Pre-existing tools, open-source software, and third-party licenses remain subject to their own terms.
10. Products operated by Codexilo
For SaaS or products we operate (for example Automate, Send Wizz, or similar), additional product-specific terms, acceptable-use rules, and privacy notices may apply.
You must not misuse product APIs, attempt unauthorized access, or use products to send spam, illegal content, or harmful automation.
We may suspend access for abuse, non-payment, or security risk.
11. Confidentiality
Both parties agree to keep confidential information private and use it only for the project or relationship, except where disclosure is required by law or the information is already public through no fault of the receiving party.
12. Warranties disclaimer
Our website content is provided “as is” for informational purposes. To the fullest extent permitted by law, we disclaim warranties of uninterrupted availability, error-free operation, or fitness for a particular purpose regarding free website content.
For paid services, warranties are limited to what is expressly stated in your written agreement.
13. Limitation of liability
To the maximum extent permitted by law, Codexilo is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from use of our website or services.
Our total liability for any claim related to a paid engagement is limited to the fees you paid us for that specific engagement in the three (3) months before the claim, unless a different cap is agreed in writing or mandatory law says otherwise.
14. Indemnity
You agree to indemnify and hold Codexilo harmless from claims arising from content you provide, your misuse of deliverables, your violation of law, or infringement of third-party rights caused by materials you supplied.
15. Termination
Either party may end a project engagement as allowed in the written agreement. You remain responsible for fees for work completed and non-refundable costs incurred up to termination.
We may suspend website or product access if these Terms are violated.
16. Governing law
These Terms are governed by the laws applicable to Codexilo’s primary place of business, without regard to conflict-of-law rules, unless a signed contract specifies another jurisdiction.
Courts with competent jurisdiction may resolve disputes that cannot be settled amicably.
17. Changes to these Terms
We may update these Terms periodically. The “Last updated” date will be revised when changes are posted. Continued use of the website or services after changes constitutes acceptance of the updated Terms, except where a signed contract requires mutual written amendment.
